Terms of Service
The short version
- You own the data you put into Anneal. We do not sell it.
- Anneal is a paid subscription, billed automatically through Stripe.
- AI outputs are tools, not guarantees — you are responsible for how you use them.
- Anneal is provided "as is," and our liability is limited.
- These terms cover individual and team subscribers. Enterprise use is under a separate agreement.
1. Acceptance and scope
These Terms of Service ("Terms") govern your access to and use of Anneal — the AI workspace application, its integrations, and related services (collectively, the "Service"). By creating an account, starting a trial, or subscribing, you agree to be bound by these Terms.
These Terms apply to individual subscribers and teams who sign up and pay through the self-service checkout. If your organization has signed a separate written enterprise agreement for Anneal, that agreement — not these Terms — governs your use, and its terms control where they conflict with these.
2. Who we are
Anneal is operated by The Carlisle Companies LLC, a Missouri limited liability company. "We," "us," and "our" refer to The Carlisle Companies LLC throughout these Terms. "You" and "your" refer to the subscriber accepting these Terms.
Anneal is built on the grāmatr platform, the context-engineering technology of gramatr, LLC. grāmatr provides the underlying intelligence layer; The Carlisle Companies LLC operates the Anneal application and is your counterparty under these Terms.
3. The Service
Anneal is an AI workspace that maintains a persistent, compounding context layer across the AI tools you already use. It connects to those tools and carries your context across sessions to improve the intelligence delivered back to you.
The Service is under active development. Features, capabilities, and availability may change. Nothing in these Terms or on this website is a guarantee of specific functionality, performance, or availability.
4. Subscription and billing
Anneal is a paid subscription. After any free trial, access requires an active, paid plan. Current plans include Individual and Team tiers, with monthly and annual billing options; annual plans are offered at a discount to the equivalent monthly rate. Pricing is described on our pricing page and may be updated with reasonable advance notice.
- Payment processing. Subscriptions are billed through Stripe, our third-party payment processor. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis. Your use of Stripe is also subject to Stripe's terms and privacy policy.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current rate for your plan, unless you cancel before the renewal date.
- Team plans. Team subscriptions are billed per seat and are subject to any applicable seat minimum described on the pricing page. You are responsible for charges on all seats you provision.
- Taxes. Stated prices exclude taxes. You are responsible for any sales, use, or similar taxes associated with your subscription.
- Cancellation and refunds. You may cancel your subscription at any time; your access continues through the end of the current paid billing period, and fees already paid are non-refundable for partial periods. Your 14-day free trial is not charged until it converts to a paid subscription. Annual plans are non-refundable after the trial period.
Enterprise pricing and terms are handled separately under a written agreement and are not governed by this section.
5. Your account
You are responsible for:
- Maintaining the confidentiality of your login credentials and any API keys or access tokens issued to you
- All activity that occurs under your account
- For team plans, managing your seats and ensuring your team members' use complies with these Terms
- Notifying us promptly at legal@carlislecos.com if you suspect unauthorized access to your account
6. Your data
You own your data. The content you submit to the Service — including your context, knowledge, notes, and any other information you provide — remains yours. We do not claim ownership of your data.
We do not sell your data. We do not sell, rent, or trade your personal data or the content you submit.
License to operate. By using the Service, you grant The Carlisle Companies LLC a limited, non-exclusive license to process, store, index, and retrieve your data solely to provide and improve the Service for you, as described in these Terms and our Privacy Policy.
Model improvement. Anneal learns from your use of the Service. On the Individual and Team plans, you grant us permission to use data from your use — including the content of your interactions — to train and improve our models and the Service, and this is not optional on these plans. Opting out of model training, and HIPAA- or PII-specific protections, are available only through an Enterprise implementation on infrastructure we control. The Individual and Team plans are not intended for protected health information or other regulated data. See our Privacy Policy.
Deletion. You may request deletion of your data at any time. Deletion is prospective: your raw data is removed on request, and details of retention and deletion timeframes are described in our Privacy Policy.
7. AI outputs
Anneal enhances AI tools by supplying them with context. The outputs are generated by third-party AI models, informed by Anneal's context layer.
- No guarantee of accuracy. AI outputs may contain errors, inaccuracies, or biases. Anneal improves the relevance and quality of the context provided to AI models but does not guarantee the accuracy, completeness, or fitness of any AI output for any purpose.
- You are responsible for use. You are responsible for reviewing, validating, and deciding how to use AI outputs. Do not rely on AI outputs for important decisions without independent verification.
8. Third-party AI providers
Anneal works with third-party AI tools that you connect, such as Claude, Codex, Gemini, and others. When you use Anneal with one of these tools, your interactions with that tool are also governed by that provider's terms of service and privacy policy. The Carlisle Companies LLC is not responsible for how third-party AI providers process data once it leaves Anneal.
You are responsible for ensuring your use of Anneal with third-party tools complies with those providers' terms.
9. Acceptable use
You agree not to:
- Use the Service to violate any applicable law or the rights of others
- Attempt to access another user's or team's account, data, or context
- Reverse-engineer, decompile, or disassemble the Service or its underlying technology
- Use the Service to develop a competing product or service
- Probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measure
- Interfere with or disrupt the Service, its servers, or connected networks
- Share, resell, or sublicense your access except as expressly permitted by your plan
- Submit false, misleading, or impersonating information
10. Intellectual property
The Anneal name, logo, wordmark, website design, written content, and all underlying technology are the property of The Carlisle Companies LLC or its licensors (including gramatr, LLC, whose grāmatr platform powers Anneal) and are protected by intellectual property laws.
Nothing in these Terms grants you any license to any trademark, copyright, patent, or other intellectual property right, except the limited right to use the Service as described in these Terms.
11. Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. The Carlisle Companies LLC does not warrant that the Service will be uninterrupted, secure, or error-free, or that AI outputs will be accurate or complete.
12. Limitation of liability
To the fullest extent permitted by law, The Carlisle Companies LLC and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service — even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or your use of the Service is limited to the greater of (a) the total fees you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US $100).
13. Indemnification
You agree to indemnify and hold harmless The Carlisle Companies LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Service, or your use of AI outputs generated through the Service.
14. Governing law and venue
These Terms are governed by the laws of the State of Missouri, and venue lies exclusively in the state and federal courts located in Missouri, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located there, and you consent to the personal jurisdiction of those courts.
15. Changes
We may update these Terms as Anneal evolves. When we do, we will update the "Last updated" date above. For material changes, we will provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you may cancel your subscription and stop using the Service.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
